Terms of Service

By purchasing or using software or services provided by Deus Ex Machina L.L.C. ("we", "us", "our"), you ("Customer") agree to these Terms of Service ("Terms"). If you do not agree, do not use the services.

1. Services and License

Subject to payment of applicable fees, we grant you a non-exclusive, non-transferable, limited right to access and use the subscribed software service for the number of seats covered by your subscription during the subscription term. These Terms cover our hosted software-as-a-service products, including the Reseller Support Portal (RSP).

Our hosted services are provided on a single-tenant basis per customer. We may update, improve, or modify the service during your subscription term. We aim for high availability but do not guarantee uninterrupted service.

5. Data and Privacy

Our handling of your account and operational data is described in our Privacy Policy. You retain ownership of the data your team enters into the service.

6. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" WITHOUT WARRANTY OF ANY KIND. TO THE FULLEST EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

7. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW, OUR TOTAL LIABILITY FOR ANY CLAIM ARISING FROM THESE TERMS OR USE OF THE SERVICE SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE TWELVE MONTHS PRECEDING THE CLAIM. IN NO EVENT SHALL WE BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, OR CONSEQUENTIAL DAMAGES.

8. Termination

Either party may terminate at any time. A monthly subscription cancelled mid-term remains active until the end of the current paid month and then does not renew. Upon termination, your right to access the service ends. Termination does not entitle you to a refund except as provided in the Refund Policy.

9. Governing Law

These Terms are governed by the laws of the State of North Carolina, United States, without regard to conflict of law principles. Any disputes shall be resolved in the courts of North Carolina.

10. Changes

We may update these Terms from time to time. We will notify active customers of material changes by email. Continued use after changes constitutes acceptance.
